End-User License Agreement
Terms and Conditions for Software Purchased from Ascad Networks

The following is a licensing agreement between the purchasing party (end-user) and Ascad Networks. These terms apply to any software produced by Ascad Networks and sold on the Ascad Networks website (http://www.ascadnetworks.com/) and subsidiary websites (http://www.PasswordProtectorSD.com/) . In purchasing any software from Ascad Networks, you agree to be bound by the following terms and conditions.

1. Free Installation of Software
A. With your purchase comes a free installation, performed by Ascad Networks. Ascad Networks requires the following information to complete any installation:

Ascad Networks generally completes installations within 24-48 hours following a purchase. If purchased during our working hours, 9am to 5pm Central Standard Time, installations are generally completed within 1 hour of purchase. This timeframe may be extended at the discretion of Ascad Networks.

B. In the event that problems arise during installation, Ascad Networks will take the following steps:

a. Contact the end-user's web hosting provider in an attempt to solve the issue.
b. Attempt to make the program function through custom programming. The standard hourly customer programming rates do not apply in this scenario.

C. In the event that it is determined by Ascad Networks during installation that our software and the end-user's web server are incompatible, the end-user will have the following options:

2. Copyright and Ownership of Software
A. Copyright: The end-user agrees that the purchased software remains copyrighted to Ascad Networks, and thereby is protected by international copyright laws.

B. Ownership: Any software purchased from Ascad Networks remains the sole property of Ascad Networks.

C. Copyright Removal: Copyrights can be removed from any templates that your members will view. Copyrights cannot be removed from the program control panel.

3. Fair Usage Policy
A. The end-user agrees that any purchased software will only be used in accordance with the following specifications:

a. The software will only be installed on a single website domain.
b. The software will never be used in a manner that violates copyright provisions. This includes, but is not limited to:

Producing unlicensed copies of the software
Modifying the software
De-compiling the software
Producing code derived from the software

c. The Ascad Networks logo, located at the bottom of the software's control panel, must remain unchanged and intact.

4. Licensing
All licenses apply to a single installation of the software. Each license may only be used on a single domain.

A. Transferability of Licenses: Licenses are granted to the purchasing end-user only and cannot be sold or transferred to other persons.

B. Resale of Software: It is strictly forbidden to resell the software in any shape or form.

C. Distribution of Software: If is strictly forbidden to distribute the purchased software in any shape of form.

5. Limited Liability
A. Ascad Networks is not reliable for any damages incurred by the end-user. This includes, but is not limited to, lost profits, lost data, or stoppage of work caused by the purchased software.

B. Ascad Networks cannot guarantee that the purchase software is free of bugs. In the event that a bug is reported, Ascad Networks attempts to resolve the issue within a reasonable timeframe.

a. Software Updates: Ascad Networks periodically issues updates to all of its software. It is the end-user's responsibility to download and install these updates. Updates improve software performance and remove bugs.

6. Money Back Guarantee
Ascad Networks offers a 30-day money back guarantee. A money back guarantee applies in the following cases:

A. Custom Programming: In the event that the end-user purchased custom programming on any purchased software and then requests a refund, the manual labor fee associated with the custom programming will not be refunded.

B. Verification of End-User's Claim: Ascad Networks reserves the right to verify the end-user's refund request in the event that the issue is related to server-incompatibility. Before a refund is issued, Ascad Networks requires that the end-user provide full FTP access. Ascad Networks will attempt to solve the issue. If the claim of server-incompatibility is confirmed, meaning that Ascad Networks cannot make the software function on the end-user's server, a full refund will be issued.

C. Refund without Professional Installation: For software, no refunds will be issued unless Ascad Networks has performs the installation of the software. Opting out of your free installation by not providing FTP Login information at the time of purchase is a forfeit of your 30-day money back guarantee.

D. Refunds On or After 30 Days: No refunds will be issued after 30 days, regardless of whether they meet the above listed specifications.

E. Removal of Software: Before a refund is issued, the end-user must remove all copies of the software from both local computers and web servers. In the event that the program is used following a refund being issued, your credit card will be charged without notice for the price of the product.

F. Requesting a Refund: All refunds MUST be requested by phone. To request a refund, call (630) 214-9598 anytime from 10AM to 5PM (Central). Please have your order number ready.
